Noble.Parts markets and distributes automobile parts and accessories online through the "noble.parts" domain. Using a portal (hereafter referred to as "portal") integrated on the "noble.parts" domain, customers can view automobile installation stations, which may or may not belong to Noble.Parts, and offer installation services for automobile parts and goods purchased from the noble.parts domain, as well as offering other automobile-related services at certain prices (hereafter referred to as "installation partner"). These cooperation conditions form the legal basis for the cooperation between Noble.Parts and the installation partner.

 

Basis of this cooperation

Only automobile companies or installation stations with a designated area and requisite equipment may become installation partners. There is no automatic right to become an installation partner of Noble.Parts. The registration as an installation partner of Noble.Parts on the portal represents an offer to Noble.Parts to conclude a cooperation agreement based on these cooperation conditions. Noble.Parts may accept this offer. The installation partner receives written confirmation if the offer has been accepted. Otherwise, the offer is considered declined.

The installation partner cannot claim exclusivity as an installation partner of Noble.Parts in any geography. Noble.Parts reserves the right to appoint multiple installation partners in the same geography and display them to noble.parts customers on the portal.

 

Details of the cooperation between Noble.Parts and the installation partner

On the noble.parts portal, potential customers can view installation partners in a certain geography as selected by the customer. The details of individual installation partners include their name, address, contact details, services provided, and respective prices within the cooperation with Noble.Parts.

If a customer purchases goods via noble.parts and wishes them to be installed at the installation partner, the installation partner is informed via email and SMS. The installation partner can then agree on an installation appointment directly with the customer, or Noble.Parts may facilitate the appointment process. If desired by the customer, the goods are sent directly to the installation partner. The installation partner receives the goods ordered by the customer from Noble.Parts and stores them properly until they are ready to be installed. The installation partner is liable for any damage to or loss of goods stored by them. Costs incurred by the installation partner (storage, repackaging, etc.) are not reimbursed by Noble.Parts and are borne by the installation partner.

The installation partner is obliged to perform the services specified on the portal at the prices specified for customers purchasing goods online from noble.parts. The contract for the provision of services is between the installation partner and the customer.

The cooperation between Noble.Parts and the installation partner is free of charge. However, noble.parts will pay the installation partner for the agreed charges on installation of goods, including any associated services. Payments are made monthly for all customers served by the installation partner during the preceding month.

The installation partner receives access to a password-protected area of the portal to provide specific details of its services and prices. The installation partner guarantees the accuracy and applicability of all details provided. Changes must be promptly updated in the password-protected area. 

The installation partner must maintain confidentiality regarding customer details, access data, and portal passwords, immediately changing all passwords if unauthorized access is suspected. Any loss or unauthorized access must be reported to Noble.Parts immediately.

 

Term of this contract

The cooperation between Noble.Parts and the installation partner is indefinite. The installation partner can terminate the cooperation with six weeks' notice. Noble.Parts reserves the right to terminate the cooperation immediately without specifying reasons. Termination must be in writing.

 

Liability

Noble.Parts is not liable for damages arising from breaches of duty, intentional actions, gross negligence, or deficiency of guaranteed properties.

 

Changing cooperation conditions

Changes to cooperation conditions require proposal from Noble.Parts and acceptance by the installation partner. Failure to reject proposed changes within two weeks constitutes acceptance. Otherwise, the current conditions remain unchanged.

 

Further items

The law of the United Arab Emirates governs the interpretation of these terms and conditions. Invalidity of any condition does not affect the validity of the remaining regulations. The installation partner cannot transfer rights and obligations without written consent from Noble.Parts. The use of the registered trademark "noble.parts" without written consent is prohibited. The application of the installation partner's general business conditions is excluded.
